OFFICIAL RULES CURSE Wildstar Mod CONTEST

(THE “CONTEST”)

 

NO PURCHASE NECESSARY TO ENTER OR WIN.  PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID WHERE PROHIBITED BY LAW.

 

1.    Eligibility.  Open to legal residents of Canada or the United States including the District of Columbia who are eighteen (18) years of age or older as of date of entry and have a valid, registered, member account at Curse.com (the “Site”).  Residents of Arizona, Massachusetts and the province of Quebec, Canada are ineligible to enter or win.  Curse Inc. (“Sponsor”) reserves the right to revise the foregoing eligibility criteria prior to the Contest Period (as defined below).  If you have not registered to become a member of the Site, you may do so by clicking here and completing the membership registration process.  Prior to completing your membership registration, you must accept the Site’s Terms of Service and Privacy Policy.  If you do not accept the Site’s Terms of Service, its Privacy Policy and these Official Rules, please do not become a member, cease your use of the Site and do not enter the Contest.  Directors, officers and employees of Sponsor, its parent, and any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, consultants, independent contractors, so-called “temporary employees,” former employees and interns and all other entities connected to the Contest, who have, within the past six (6) months, performed services for Sponsor, and immediate families and persons domiciled with those persons or entities are not eligible to enter or win any prizes.  All applicable federal, state, and local laws and regulations apply.  In the event of any dispute that arises in connection to the Contest, entries and Submissions (as defined below) will be deemed to have been submitted by the owner of the membership account from which the entry was posted.  Void in Arizona, Massachusetts, and Quebec, Canada.  Void where prohibited by law.

 

2.   Disclaimer.  To the fullest extent permitted by applicable law, Sponsor, any third party appointed by Sponsor to assist with the administration of the Contest (each a “Contest Administrator”) (if any), and any of their respective parent companies, subsidiaries, affiliates, directors, members, shareholders, officers, professional advisors, employees and agencies (collectively, the “Contest Entities”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer-related or communications-related malfunctions or failures or by any of the equipment or programming associated with or utilized in this Contest which may limit the ability to play or participate, or by any human error that may occur in winner notification or other Contest-related communications, or the processing, review, or tabulation of the entries in this Contest; (c) any Contest-related disruptions, injuries, losses or damages caused by events beyond the control of the Contest Entities; or (d) any printing or typographical errors in any materials associated with the Contest, for reasons beyond Sponsor’s control.  If, by reason of a printing or other error, within the official advertising for the Contest carried out by or on behalf of the Sponsor, the entrants reasonably believe that more prizes are available to be won as part of the Contest than the number set forth in these Official Rules, all persons making purportedly valid claims for such additional prizes will be included in a random drawing to award the advertised number of prizes available.  No more than the advertised number of prizes will be awarded.

 

3.    Contest Period.  The Contest shall commence on 7/1/2013 at 12:00 AM CDT and end on 7/31/2014 at 11:59:59 PM PDT (the “Contest Period”).  All entries must be received during the Contest Period to be eligible to win a prize.  Sponsor or, if applicable, its Contest Administrator’s clock shall be the sole method of time keeping for the Contest and Sponsor’s decision as the whether an entry has been received during the Contest Period shall be final.

 

4.   How to Enter the Contest.  During the Contest Period you may enter the Contest by submittinga link to your mod within the contest page.  Each Entry must include the following:

 

  • A digital attachment of you content submission or a link to your content submission (each a “Submission”); and
  • Your name, age, email address, physical address and phone number

 

Multiple Entries are allowed, however each separate Entry requires that the entrant submit an inherently different Submission which is substantially dissimilar to any previous Submission provided by such entrant.  Sponsor, at its sole discretion, has final approval of all Submissions for the inclusion in the Contest, including, but not limited to, whether it deems additional Submissions submitted by the same entrant are in fact, substantially dissimilar Submissions.  Any Submissions: (i) which depict, utilize or otherwise contain and/or glorify lewd, obscene, threatening, racist, illegal, vulgar, or profane language or behavior, either as part of the Submission or as the name of the Submission; (ii) that violate any third party’s intellectual property rights (or other proprietary rights) or, in respect of which, Sponsor has grounds to believe they may violate any third party’s intellectual property rights (or other proprietary rights); (iii) that violate and/or do not comply with the Site’s Terms of Service or Privacy Policy and/or these Official Rules; (iv) which are not deemed by Sponsor (acting in its sole discretion) to be substantially dissimilar to any previous Submission provided by the same entrant; or (v) are otherwise deemed to be unsuitable for any reason by Sponsor at its sole discretion, will be disqualified and ineligible to win.

 

All Submissions are subject to the following terms and conditions:

 

Each entrant shall retain its ownership interest and applicable intellectual property rights in and to its Submission.  However, each entrant hereby grants Sponsor, and its agents, affiliates, successors and assigns a perpetual, irrevocable, worldwide, non-exclusive, fully-paid and royalty-free, sub-licensable and transferable license to use, distribute, transmit, display, make derivative works of and utilize all Submissions in any manner and for any purposes including, but not limited to, Sponsor’s advertising and marketing endeavors.  Each Submission is, and will be treated as, non-confidential and non-proprietary.  Sponsor retains the right to subsequently edit or otherwise modify all Submissions in any manner and for any purpose, but is under no obligation to do so.  Each entrant hereby represents, warrants and undertakes that it owns the Submission (and the content therein) submitted by it, or that it otherwise has the right to grant use thereof as set forth in this section, and that the use of said Submission in accordance with these Official Rules will not violate the privacy rights, intellectual property rights (including without limitation, copyright and trademark rights), contract rights, music performance and publishing rights, or any other rights of any person or entity.  Sponsor reserves the right to use the Submission for any purpose, including, but not limited to, online Internet and wireless application protocol use, reproduction, disclosure, advertising and promotional activities, distribution, transmission, publication, and broadcast.  Sponsor reserves the right to use any ideas, concepts, knowledge, or techniques contained in the Submission for any purpose, including, but not limited to, developing and marketing products and/or services using such information, and each entrant acknowledges and understands there shall be no consideration, royalties or other compensation from Sponsor, its agents, affiliates or assigns for use of said Submission or the content therein.  Further, to the fullest extent permitted by applicable law, each entrant (and his or her parent or legal guardian in the event entrant is a minor) and his or her respective heirs, hereby indemnifies, discharges, releases, and holds Sponsor and the Contest Entities together with their respective parents, agents, affiliates, successors and assigns and their respective directors, members, shareholders, officers, employees, agents and representatives (collectively, the “Released Parties”), harmless from any action and/or liability, in any form or manner, arising from such entrant’s failure to comply with these Official Rules and/or any infringement of any third party’s rights, inclusive of attorneys’ fees and costs in connection to the Submission.   If you do not agree to these terms, do not enter the Contest.

 

5.   How To Win:  Based on the judging criteria below, Sponsor shall determine the winners by no later than 8/15/2014 from all eligible Entries received during the Contest Period.  The Submission that Sponsor and/or the Contest Administrator(s) (as applicable) determines (acting in their sole discretion) best meets the judging criteria as defined below will be deemed the winner.  Second and third place prizes shall also be determined by Sponsor using the judging criteria set forth below.

 

6.   Prizes.

            a.            Grand Prize.  A total of One Grand Prizes consisting of Signed Shirt and Rowsdower plushy, as well as $750 will be awarded.  The approximate retail value (“ARV”) of the Grand Prize is $800

 

                b.  One second place winner will receive one Rowsdower plushy from Carbine, $500 from Curse

 

                c. One third place winner will receive one Rowsdower plushy from Carbine and $250 from Curse

 

The total ARV of all prizes awarded in the Contest is: $1550

Prize winners will be notified by email or any other appropriate method (at Sponsor’s discretion) using the contact details for the prize winner contained within their Entry for the Contest or set out in such winner’s registered account for the Site at such date within forty-eight (48) hours after determination by Sponsor.  To claim a prize, winners must follow the instructions contained in their notification and, if applicable, sing the enclosed Winner’s Affidavit and return it to the address below or as otherwise communicated by Sponsor or its designee.  Sponsor, at its sole discretion may require copies of the winner’s government-issued photo identification (or if a minor, his/her parent’s or legal guardian’s ID).  If a winner does not claim their prize and, if requested by Sponsor, submit a signed Winner’s Affidavit and/or copy of their identification by 7 days past the drawing period that winner may be deemed to have forfeited the Contest and its prize, and Sponsor may, at its sole discretion, select an alternate winner.  Further, in the event that Sponsor (or its designee) is unable to successfully contact or communicate with a winner, Sponsor may award the prize to an alternate entrant.  Awarding of a prize does not constitute the respective prize-providing entities’ affiliation with, sponsorship, or endorsement of, the Contest.

 

ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNER.  All prizes will be awarded provided there are sufficient qualified entries.  Prizes returned as undeliverable, or for reasons beyond the Sponsor’s control, may be forfeited and/or awarded to an alternate winner.  The prize is not replaceable if lost, damaged or stolen.  Prizes are not transferable.  No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize in its sole discretion.  There is a limit of one (1) prize per household or address.  All prizes are awarded “AS IS” and Sponsor makes no representations or warranties regarding the quality of any prize and any conditions, warranties or other terms implied by statute or common law are hereby excluded to the fullest extent permitted by law.  Any complaints in relation to any prize must be directed to the relevant third party prize manufacturer or provider of such prize.

 

Sponsor may provide a federal 1099 financial reporting form to U.S. residents and a W8-BeN reporting form for Canadian residents, as applicable.  If so provided, the respective form must be executed and returned to Sponsor per the instructions provided by the Sponsor.

 

7.    Judging.  Winners shall be chosen by Sponsor in its sole discretion based upon the following criteria:  (i) originality; (ii) creativity; and (iii) aesthetic appeal, with equal weight being given to each criterion.  All decisions by Sponsor are final.  If you do not agree to these terms and conditions, do not enter the Contest.

 

8.    Tie-Breaking.  In the event of a tie between two or more Entrants, each entrant may be required to provide an additional Submission which shall be judged per the judging criteria as set forth above. 

 

9.   Sponsor Use of Entries and Entrants’ Names and Likenesses.  To the fullest extent permitted by applicable law and subject where applicable to the terms of the Site’s Privacy Policy, you hereby grant to Sponsor an irrevocable, perpetual, royalty free, worldwide license to use and utilize, alter, and publish your name, membership user name, likeness, image, voice, appearance and performance, in whole or in part, as the foregoing may be rendered in the Submission  and/or in connection with the Contest, the Site, and Sponsor’s promotion or other exploitation thereof, regardless of whether such use is in conjunction with Sponsor’s use of the Submission or other entry materials.  Submissions and other entry materials will not be returned to any entrant.  Without limiting the generality of the foregoing, each entrant hereby acknowledges that, to the fullest extent permitted by applicable law, Sponsor shall have the right to use, modify, reproduce, publish, perform, display, distribute, make derivative works of and otherwise commercially and non-commercially exploit the Submission in perpetuity, worldwide, in any manner or medium now existing or hereafter developed, without any compensation, royalty, or other consideration to you or any other person or entity.  You agree to take, at Sponsor's expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor’s rights as set forth above in this section 9.  You may not sell, sublicense or distribute the Submission or any derivative of the Submission without the express, written permission of Sponsor.  In the event that the rights granted herein cannot be granted to the extent required by these Official Rules pursuant to applicable law in which the entrant resides, the foregoing assignment of rights shall be modified to the extent necessary to comply with such laws while giving Sponsor the maximum rights possible to use and exploit the Submission.

 

10.    Representations and Warranties.  You hereby warrant and represent that (a) you own, or otherwise control all rights to the Submission and all entry materials submitted by you; (b) all such Submissions are original works of authorship on your part and have not been copied or derived, in whole or in part, from any other work; and (c) all such Submissions do not violate misappropriate or infringe upon any copyright, trademark, right of publicity, or other proprietary right of any other person or entity.

 

11.    General Release.  Subject to the remaining provisions of this section 11, by entering the Contest, you release and hold the Released Parties harmless from any liability whatsoever in the event of personal injury, property damage, or death, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest, use of the Site, or delivery, misdelivery, acceptance, possession, use of or inability to use any prize, including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort, warranty or other theory, to the extent permitted by law.  Each entrant hereby waives application of California Civil Code Section 1542 which provides as follows:

 

A GENERAL RELEASE DOES NOT EXTENT TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.

 

Entrant expressly waives the provisions of Section 1542 of the California Civil Code as well as any other statutes, rules, laws, ordinances, or common law principles or other authority of similar effect of any jurisdiction, and further waives any right to invoke said provisions now or in the future with regard to the Contest.  Entrants and the winner further acknowledge and agree that this waiver is an essential and martial term of these Official Rules and the Contest.

 

12.    Winners List; Official Rules Request.  For a copy of the winners list or the Official Rules, send a stamped, self-addressed, business-size envelope to Sponsor’s address below, Attention Wildstar Mod Contest by no later than 10/1/2014.  Residents of WA and VT may omit return postage for Official Rules requests.

 

13.    Governing Law and Jurisdiction.  You agree that the laws of the United States of America and the laws of the State of California, without regard to the principles of conflict of laws, will govern the Contest and these Official Rules. You irrevocable submit to the exclusive jurisdiction of, and venue in, the state and federal courts seated in San Francisco County, California, and the related appellate courts, in any related action or proceeding.  As a condition of participating in the Contest, you agree that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Official Rules shall be resolved individually, without resort to any form of class action.  Further in any such dispute, under no circumstances will you be permitted to obtain awards for and you hereby waive all rights to claim punitive, incidental or consequential damages (including reasonable attorneys' fees), other than your actual out-of-pocket expenses (i.e. costs associated with entering this Contest) and you further waive all rights to have damages multiplied or increased.

 

14.    Miscellaneous.  Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.  Sponsor reserves the limited right to suspend, modify, or otherwise change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Contest or any entrant's participation in the Contest in the event that viruses, bugs, network interruptions or failures, unauthorized human or electronic intervention or other causes beyond Sponsor's control affect the administration, security or proper function of the Contest or the Site, or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Contest as planned.   Automated entries are prohibited, and any use of such automated devices will cause disqualification.  Entrants (and any individuals acting on their behalf) who violate these Official Rules, tamper or otherwise interfere with the operation of the Contest, the Site, or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or any other entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification at any time during the Contest Period.  Sponsor reserves the right to suspend, or otherwise disqualify persons whose eligibility is in question or who have been disqualified or are otherwise deemed to be ineligible to enter and/or further participate in the Contest.  This may include removal of the entrant’s Submission(s).  In connection to, and in event of all of the foregoing, an entrant may become ineligible to win a prize.

 

15.    Digital Millennium Copyright Act.  Pursuant to the Digital millennium Copyright Act, if an individual or an entity has a good faith belief that a Submission infringes upon any third party copyright, please notify us by mail at Sponsor’s address set out in section 16 below, attention Copyright Department, or by email at [email protected] with the subject line stating “Copyright” (a “Copyright Notice”).  The Copyright Notice MUST include the following: (i) describe the alleged infringement in detail; (ii) the copyright owner or who retains authorized use; (iii) the URL(s) where the alleged infringement can be located; (iv) a statement indicating your authorization to file a DMCA complaint; (v) how you may be contacted; and (vi) any DMCA notice must also contain the following statement:

 

I have a good faith belief that use of the copyrighted material described above is not authorized by the copyright owner or its agent, nor is such use otherwise permissible under law.  I declare, under penalty of perjury, that the information presented herein is accurate, that I am authorized to represent the copyright holder, and I have a good faith belief that the use is infringing.

If a winner does not claim their prize within three months from the Draw Date or if requested by Sponsor, submit a signed Winner’s Affidavit and/or copy of their identification within seven days of Sponsor’s request, that winner may be deemed to have forfeited the Contest and its prize, and Sponsor may, at its sole discretion, select an alternate winner.  Further, in the event that Sponsor (or its designee) is unable to successfully contact or communicate with a winner within three months from the Draw Date or the prize is returned as undeliverable for reasons beyond the Sponsors control, Sponsor may award the prize to an alternate entrant.  Awarding of a prize does not constitute the respective prize-providing entities’ affiliation with, sponsorship, or endorsement of, the Contest.

 

All prizes will be awarded provided there are sufficient qualified entries.  The prize is not replaceable if lost, damaged or stolen.  Prizes are not transferable.  No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right, but is not required, to substitute a prize of equal or greater value for any prize in its sole discretion.  There is a limit of one (1) prize per household or address.  All prizes are awarded "AS IS" and Sponsor makes no representations or warranties regarding the quality of any prize and any conditions, warranties or other terms implied by statute or common law are hereby excluded to the fullest extent permitted by law.  Any complaints in relation to any prize must be directed to the relevant third party prize manufacturer or provider of such prize.

7.         Judging Criteria.  Winners shall be chosen by a judging panel of at least three people nominated by the Sponsor, in their sole discretion based upon the following criteria:  (i) originality; (ii) creativity; and (iii) aesthetic appeal, with equal weight being given to each criterion(“Judging Criteria”).  All decisions by Sponsor are final.  If you do not agree to these terms and conditions, do not enter the Contest.

 

8.            Tie-Breaking.  In the event of a tie between two or more entrants, each entrant may be required to provide an additional Submission which shall be judged per the Judging Criteria.

 

9.            Sponsor Use of Entries and Entrant’s Name and Likenesses.  To the fullest extent permitted by applicable law and subject, where applicable, to the terms of the Site’s Privacy Policy, you hereby grant to Sponsor an irrevocable, perpetual, royalty free, worldwide license to use and utilize, alter, and publish your name, membership user name, likeness, image, voice, appearance and performance, in whole or in part, as the foregoing may be rendered in the Submission  and/or in connection with the Contest, the Site, and Sponsor’s promotion or other exploitation thereof, regardless of whether such use is in conjunction with Sponsor’s use of the Submission, other entry materials, or any other content deemed appropriate by the Sponsor in its sole discretion.  Submissions and other entry materials will not be returned to any entrant. Entrant shall retain ownership interest and applicable intellectual property rights in and to its Submission, but grants Sponsor, and its agents, affiliates, successors and assigns a perpetual, irrevocable, worldwide, non-exclusive, sub-licensable and transferable license, to the fullest extent permitted by applicable law, to use, edit, modify, reproduce, publish, perform, communicate to the public, display, distribute, make adaptations and derivative works of and otherwise commercially and non-commercially exploit the Submission, in any manner or medium now existing or hereafter developed, without any restriction, compensation, royalty, or other consideration or reference to you or any other person or entity. For the avoidance of doubt, Sponsor reserves the right to use the Submission for any purpose without restriction in all media (now known or hereafter devised), including, but not limited to, online Internet and wireless application protocol use, reproduction, disclosure, advertising and promotional activities, distribution, transmission, publication, and broadcast.  Sponsor reserves the right to use any ideas, concepts, knowledge, or techniques contained in the Submission for any purpose, including, but not limited to, developing and marketing products and/or services using such information, and each entrant acknowledges and understands there shall be no consideration, royalties or other compensation payable from Sponsor, its agents, affiliates or assigns for use of said Submission or the content therein.  Each Submission is, and will be treated as, non-confidential and non-proprietary.  Sponsor retains the right to subsequently edit or otherwise modify all Submissions in any manner and for any purpose, but is under no obligation to do so.  You irrevocably waive any and all moral rights (if any) which you may have in the Submission in accordance with the Copyright Act 1968 (Australia) or Copyright Act 1994 (New Zealand), as applicable, or any similar law throughout the world as may be necessary for Sponsor to use and exploit the Submission in the manner anticipated by these Official Rules. You agree to take, at Sponsor's expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor's rights granted herein.  To the extent that any Submission contains or is derived from any content, materials or rights owned or controlled by Sponsor, a Contest Administrator or any of their respective parent companies, subsidiaries, affiliates, directors, members, shareholders or officers, you shall not sell, sublicense or distribute such Submission or any derivative of the Submission without the express, written permission of Sponsor.  In the event that the rights granted herein cannot be granted to the extent required by these Official Rules pursuant to applicable law, such grant of rights shall be modified to the extent necessary to comply with such laws while giving Sponsor the maximum rights possible to use and exploit the Submission.

 

10.      Representations and Warranties.  You hereby warrant and represent that (a) you own, or otherwise control all rights (including any underlying rights embodied on the Submission) in and to the Submission and all entry materials submitted by you (or that you otherwise have the express right to grant use thereof); (b) you hold all licenses, releases, waivers with respect to any  Performers’ Rights (in accordance with the Copyright Act 1968 (Australia) or Copyright Act 1994 (New Zealand), as applicable) which are embodied on the Submission; (c) the Submission is an original work of authorship on your part and have not been copied or derived, in whole or in part, from any other work; (c) the Submission does not violate, misappropriate or infringe upon any intellectual property rights (including, without limitation, copyright and trademark rights), contract rights, music performance and publishing rights, performers’ rights, publicity rights, or other proprietary rights of any other person or entity; and (d) the Submission is not in breach of confidence or in contravention of the Privacy Act 1988 or Privacy Act 1993 (as applicable) or any other applicable data protection or privacy legislation.

 

11.      General Release.  The Entrant and his or her respective heirs, hereby,  indemnifies, discharges, releases, and holds the Sponsor and the Contest Entities together with their respective parents, agents, affiliates, successors and assigns and their respective directors, members, shareholders, officers, employees, agents and representatives (collectively, the “Released Parties”) harmless from and against any and all liability whatsoever in the event of personal injury, property damage, or death, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with: the Contest, use of the Site, or delivery, misdelivery, acceptance, possession, use of or inability to use any prize, including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort, warranty or other theory, to the extent permitted by law.

 

Notwithstanding the foregoing, to the fullest extent permitted by applicable law, each entrant and his or her respective heirs, hereby indemnifies, discharges, releases, and holds the Released Parties, harmless from and against any and all actions, claims, proceedings and suits and all related liabilities, losses, damages, death, judgments, settlements, penalties, fines, costs and expenses (including reasonable attorneys’ fees and costs), arising in connection with (i) your breach or alleged breach of these Official Rules or (ii) your violation or of any law, rule, regulation or rights of others (including without limitation intellectual property and privacy rights).  

 

Nothing in these Official Rules shall exclude or limit Sponsor’s liability for death or personal injury caused by Sponsor’s or any other Released Party’s negligence or any loss suffered by you as a result of your reliance on any fraudulent misrepresentation made by Sponsor or the applicable Released Party to you or any other liability which cannot be excluded or limited under Australian or New Zealand law (as applicable).

 

 

12.      Governing Law and Jurisdiction.  You agree that the laws of Australia and New Zealand (as applicable), without regard to the principles of conflict of laws, will govern the Contest and these Official Rules. You irrevocably submit to the exclusive jurisdiction of, and venue in, the courts of Australia and New Zealand and the related appellate courts, in any related action or proceeding. As a condition of participating in the Contest, you agree that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Official Rules shall be resolved individually, without resort to any form of group litigation.  Further, in any such dispute, under no circumstances will you be permitted to obtain awards for and you hereby waive all rights to claim punitive, incidental or consequential damages (including reasonable attorneys' fees), other than your actual out-of-pocket expenses (i.e. costs associated with entering this Contest) and you further waive all rights to have damages multiplied or increased. If any court of competent jurisdiction finds any provision of these Official Rules to be void or unenforceable for any reason then such provision shall be ineffective to the extent of the court’s finding without affecting the validity and enforceability of any remaining provisions.

 

13.      Miscellaneous.  Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.  Sponsor reserves the limited right to suspend, modify, or otherwise change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Contest or any entrant's participation in the Contest in the event that viruses, bugs, network interruptions or failures, unauthorized human or electronic intervention or other causes beyond Sponsor's control affect the administration, security or proper function of the Contest or the Site, or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Contest as planned.   Automated entries are prohibited, and any use of such automated devices will result in immediate and automatic disqualification.  Entrants (and any individuals acting on their behalf) who violate these Official Rules, tamper or otherwise interfere with the operation of the Contest, the Site, or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or any other entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification at any time during the Contest Period.  Sponsor reserves the right to suspend, or otherwise disqualify persons whose eligibility is in question or who have been disqualified or are otherwise deemed to be ineligible to enter and/or further participate in the Contest.  This may include removal of the entrant’s Submission(s).  In connection to, and in event of all of the foregoing, an entrant may become ineligible to win a prize. 

 

14.         Copyright Infringement.  If an individual or an entity has a good faith belief that a Submission infringes upon any third party copyright, please notify us by mail at Sponsor’s address set out in section 15 below, attention Copyright Department, or by email at [email protected]with the subject line stating “Copyright” (a “Copyright Notice”).  The Copyright Notice MUST include the following: (i) describe the alleged infringement in detail; (ii) the copyright owner or who retains authorized use; (iii) the URL(s) where the alleged infringement can be located; (iv) a statement indicating your authorization to file a Copyright Notice; (v) how you may be contacted; and (vi) any Copyright Notice must also contain the following statement:

(THE “CONTEST”)

1.           Eligibility.  Open to legal residents of the United Kingdom (excluding Northern Ireland) who are eighteen (18) years of age or older as of date of entry and have a valid, registered, member account at Curse.com (the “Site”).  Curse Inc. (“Sponsor”) reserves the right to revise the foregoing eligibility criteria prior to the Contest Period (as defined below).  If you have not registered to become a member of the Site, you may do so by going to www.curse.com and completing the membership registration process.  Prior to completing your membership registration, you must accept the Site’s Terms of Service and Privacy Policy located at http://www.curse.com/terms.  If you do not accept the Site’s Terms of Service, its Privacy Policy and these Official Rules, please do not become a member, cease your use of the Site and do not enter the Contest.  Directors, officers and employees of Sponsor, its parent, and any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, consultants, independent contractors, so-called “temporary employees,” former employees and interns and all other entities connected to the Contest, who have, within the past six (6) months, performed services for Sponsor, and immediate families and persons domiciled with those persons or entities are not eligible to enter or win any prizes.  All applicable laws and regulations apply.  In the event of any dispute that arises in connection to the Contest, entries and Submissions (as defined below) will be deemed to have been submitted by the owner of the membership account from which the entry was posted.  Void where prohibited by law.

 

2.           Disclaimer.  To the fullest extent permitted by applicable law, Sponsor, any third party appointed by Sponsor to assist with the administration of the Contest (each a “Contest Administrator”) (if any),  and any of their respective parent companies, subsidiaries, affiliates, directors, members, shareholders, officers, professional advisors, employees and agencies (collectively, the “Contest Entities”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer-related or communications-related malfunctions or failures or by any of the equipment or programming associated with or utilized in this Contest which may limit the ability to play or participate, or by any human error that may occur in winner notification or other Contest-related communications, or the processing, review, or tabulation of the entries in this Contest; (c) any Contest-related disruptions, injuries, losses or damages caused by events beyond the control of the Contest Entities; or (d) any printing or typographical errors in any materials associated with the Contest, for reasons beyond Sponsor’s control.  If, by reason of a printing or other error within the official advertising for the Contest carried out by or on behalf of the Sponsor, the entrants reasonably believe that more prizes are available to be won as part of the Contest than the number set forth in these Official Rules, all persons making purportedly valid claims for such additional prizes will be included in a random drawing to award the advertised number of prizes available.  No more than the advertised number of prizes will be awarded.

 

3.           Contest Period.  The Contest shall commence on 7/1/2014 at 12:00 a.m. CDT and end on 7/31/2014 at 11:59:59 p.m. CDT (the "Contest Period").  All entries must be received during the Contest Period to be eligible to win a prize.  Sponsor or, if applicable, its Contest Administrator’s clock shall be the sole method of time keeping for the Contest and Sponsor’s decision as to whether an entry has been received during the Contest Period shall be final.

 

4.         How to Enter the Contest.  During the Contest Period you may enter the Contest by submittinga link to your mod within the contest page. Each Entry must include the following

 

  • A digital attachment of your content submission or a link to your content submission (each a “Submission”); and
  • Your name, age, email address, physical address and phone number. 

 

Multiple Entries are allowed, however each separate Entry requires that the entrant submit an inherently different Submission which is substantially dissimilar to any previous Submission provided by such entrant.  Any Submissions: (i) which depict, utilize, or otherwise contain and/or glorify lewd, obscene, threatening, racist, illegal, vulgar, or profane language or behavior, either as part of the Submission or as the name of the Submission; (ii) that violate any third party’s intellectual property rights (or other proprietary rights) or, in respect of which, Sponsor has grounds to believe they may violate any third party’s intellectual property rights (or other proprietary rights); (iii) that violate and/or do not comply with the Site’s Terms of Service or Privacy Policy and/or these Official Rules; (iv) which are not deemed by Sponsor (acting in its sole discretion) to be substantially dissimilar to any previous Submission provided by the same entrant; or (v) are otherwise deemed to be unsuitable for any reason by Sponsor at its sole discretion, will be disqualified and ineligible to win. 

 

All Submissions are subject to the following terms and conditions:

5.         How To Win: Based on the judging criteria below, Sponsor shall determine the winners by no later than 8/15/2014 from all eligible Entries received during the Contest Period.  The Submission that Sponsor and/or the Contest Administrator(s) (as applicable) determines (acting in their sole discretion) best meets the judging criteria as defined below will be deemed the winner.  Second and third place prizes shall also be determined by Sponsor using the judging criteria set forth below.

 

6. Prizes.

            a.            Grand Prize.  A total of One Grand Prizes consisting of Signed a signed shirt and Rowsdower plushy, as well as $750 will be awarded.  The approximate retail value (“ARV”) of the Grand Prize is $800

 

                b.  One second place winner will receive one Rowsdower plushy from Carbine, $500 from Curse

 

                c. One third place winner will receive one Rowsdower plushy from Carbine and $250 from Curse

 

The total ARV of all prizes awarded in the Contest is: $1550

 

Prize winners will be notified by email or any other appropriate method (at Sponsor’s discretion) using the contact details for the prize winner contained within their Entry for the Contest within forty-eight (48) hours after determination by Sponsor.  To claim a prize, winners must follow the instructions contained in their notification and, if applicable, sign the enclosed Winner’s Affidavit and return it to the address below or as otherwise communicated by Sponsor or its designee. Sponsor, at its sole discretion may require copies of the winner’s government-issued photo identification. If a winner does not claim their prize and, if requested by Sponsor, submit a signed Winner’s Affidavit and/or copy of their identification by 7 days after the drawing that winner may be deemed to have forfeited the Contest and its prize, and Sponsor may, at its sole discretion, select an alternate winner.  Further, in the event that Sponsor (or its designee) is unable to successfully contact or communicate with a winner, Sponsor may award the prize to an alternate entrant.  Awarding of a prize does not constitute the respective prize-providing entities’ affiliation with, sponsorship, or endorsement of, the Contest.

Without limiting the generality of the foregoing, each entrant hereby acknowledges that, to the fullest extent permitted by applicable law,  Sponsor shall have the right to use, modify, reproduce, publish, perform, display, distribute, make derivative works of and otherwise commercially and non-commercially exploit the Submission in perpetuity, worldwide, in any manner or medium now existing or hereafter developed, without any compensation, royalty, or other consideration to you or any other person or entity and you irrevocably waive any and all moral rights (if any) which you may have in the Submission in accordance with Chapter IV Part I of the Copyright, Designs and Patents Act 1988 (“CDPA”) or any similar law throughout the world as may be necessary for Sponsor to use and exploit the Submission in the manner anticipated by these Official Rules and you irrevocably grant to Sponsor all performer’s consents required pursuant to the CDPA Part II or pursuant to any other law in any jurisdiction, to enable the exploitation referred to above. You agree to take, at Sponsor's expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor's rights as set forth above in this section 9.  You may not sell, sublicense or distribute the Submission or any derivative of the Submission without the express, written permission of Sponsor.  In the event that the rights granted herein cannot be granted to the extent required by these Official Rules pursuant to applicable law, such grant of rights shall be modified to the extent necessary to comply with such laws while giving Sponsor the maximum rights possible to use and exploit the Submission.

 

10.      Representations and Warranties.  You hereby warrant and represent that (a) you own, or otherwise control all rights to the Submission and all entry materials submitted by you; (b) all such Submissions are original works of authorship on your part and have not been copied or derived, in whole or in part, from any other work; (c) all such Submissions do not violate, misappropriate or infringe upon any copyright, trademark, right of publicity, or other proprietary right of any other person or entity; and (d) all such Submissions shall not be in breach of confidence or in contravention of the Data Protection Act 1998 or any other applicable data protection or privacy legislation.

 

11.      General Release.  Subject to the remaining provisions of this section 11, by entering the Contest, you release and hold the Released Parties harmless from any liability whatsoever in the event of personal injury, property damage, or death, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest, use of the Site, or delivery, misdelivery, acceptance, possession, use of or inability to use any prize, including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort, warranty or other theory, to the extent permitted by law.

14.      Miscellaneous.  Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.  Sponsor reserves the limited right to suspend, modify, or otherwise change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Contest or any entrant's participation in the Contest in the event that viruses, bugs, network interruptions or failures, unauthorized human or electronic intervention or other causes beyond Sponsor's control affect the administration, security or proper function of the Contest or the Site, or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Contest as planned.   Automated entries are prohibited, and any use of such automated devices will cause disqualification.  Entrants (and any individuals acting on their behalf) who violate these Official Rules, tamper or otherwise interfere with the operation of the Contest, the Site, or engage in any conduct that is detrimental or unfair to Sponsor, the Contest or any other entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification at any time during the Contest Period.  Sponsor reserves the right to suspend, or otherwise disqualify persons whose eligibility is in question or who have been disqualified or are otherwise deemed to be ineligible to enter and/or further participate in the Contest.  This may include removal of the entrant’s Submission(s).  In connection to, and in event of all of the foregoing, an entrant may become ineligible to win a prize. 

 

15.         Copyright Infringement.  Pursuant to the CDPA, if an individual or an entity has a good faith belief that a Submission infringes upon any third party copyright, please notify us by mail at Sponsor’s address set out in section 16 below, attention Copyright Department, or by email at [email protected]with the subject line stating “Copyright” (a “Copyright Notice”).  The Copyright Notice MUST include the following: (i) describe the alleged infringement in detail; (ii) the copyright owner or who retains authorized use; (iii) the URL(s) where the alleged infringement can be located; (iv) a statement indicating your authorization to file a Copyright Notice; (v) how you may be contacted; and (vi) any Copyright Notice must also contain the following statement:

1. Teilnahmeberechtigung:  Personen mit gültigem Aufenthaltsstatus in Deutschland, die am Tag der Einsendung achtzehn (18) Jahre alt sind oder älter, und einen gültigen, angemeldeten Mitgliedsaccount auf www.Curse.com (nachfolgend die "Website") haben, können an dem Gewinnspiel teilnehmen. Angestellte und unmittelbare Familienangehörige der Angestellten (Eltern, Geschwister, Kinder, Ehepartner und Personen, die mit diesen Personen im gleichen Haushalt leben, ob verwandt oder auch nicht), von Curse Inc. (nachfolgend der "Veranstalter"), ihre Muttergesellschaften und  verbundene Unternehmen, Tochtergesellschaften, Werbe- und PR-Agenturen und alle anderen Unternehmen, die mit dem Wildstar Mod (nachfolgend "Gewinnspiel") in Verbindung stehen, sowie ihre Beauftragten, Geschäftsführer, Führungskräfte und alle anderen Personen, insbesondere Berater, Vertragspartner, sogenannte "befristet Angestellte", frühere Angestellte und Praktikanten (und deren unmittelbare Familienangehörige), die in den letzten sechs (6) Monaten Dienstleistungen für den Veranstalter erbracht haben, sind nicht zur Teilnahme am Gewinnspiel und der Preisverlosung berechtigt. Diese Regelung ist unwirksam wo sie gesetzlich verboten ist.

2. Gewinnspielzeitraum: Das Gewinnspiel beginnt am July 1 2014 um 12:00 Uhr [CDT] und endet am July 31, 2014 um 23:59:59 Uhr [CDT] (nachfolgend "Gewinnspielzeitraum"). Der Veranstalter oder eventuell beteiligte Dritte, die dem Veranstalter bei der Durchführung des Wettbewerbs behilflich sind (nachfolgend jeweils "Gewinnspielhelfer"), oder ein Bevollmächtigter des Veranstalters wird die gewinnspielrelevanten Fristen bestimmen. 3. Teilnahme:

Wenn die Teilnehmer aufgrund eines Druckfehlers oder eines sonstigen Fehlers bei der offiziellen Bewerbung des Wettbewerbs durch oder im Namen des Veranstalters Grund zu der Annahme haben, dass in dem Wettbewerb mehr Preise gewonnen werden können, als in diesen Teilnahmebedingungen angekündigt, dann werden alle Personen, die vermeintlich wirksame Ansprüche auf solche zusätzlichen Preise geltend machen, an einer Zufallsziehung teilnehmen, in der die beworbene Anzahl an Preisen vergeben wird. Es wird jedoch nicht mehr als die beworbene Anzahl an Preisen vergeben.

Wenn das Gewinnspiel aus irgendeinem Grund (insbesondere wegen der Beeinträchtigung der Funktionsfähigkeit von Computern durch Viren und Computerwürmern, wegen Sabotage, ungenehmigten Eingriffen, Betrug, technischen Defekten oder aus jeglichem, von den Gewinnspielbeteiligten vernünftigerweise nicht zu kontrollierendem anderem Grund, der die Durchführung, die Sicherheit, die Gerechtigkeit, die Integrität oder die ordnungsgemäße Entwicklung des Gewinnspiels beschädigt oder beeinträchtigt), nicht wie in diesen Teilnahmebedingungen beschrieben durchgeführt werden kann, hat der Veranstalter nach seinem eigenen Ermessen das Recht, das Gewinnspiel abzubrechen, zu beenden, zu ändern oder aufzuschieben und den/ die Gewinner aus Einsendungen auszuwählen, die er vor diesem Gewinnspiel erhalten hat, oder wie es ihm ansonsten gerecht und angemessen erscheint. Entschädigung und Haftungsfreistellung:  Mit der Abgabe der Teilnahmeerklärung stimmen die Teilnehmer und der/ die Gewinner zu, durch diese Teilnahmebedingungen und die für alle hier genannten Zwecke endgültigen Entscheidungen des Veranstalters und/ oder des Gewinnspielhelfers gebunden zu sein. Sie stimmen außerdem zu: (1) dass die Gewinnspielbeteiligten (sofern dies nicht gesetzlich verboten ist und in Übereinstimmung mit der Datenschutzrichtlinie des Veranstalters stattfindet (wie unten definiert)) berechtigt sind, die Namen, Bilder und sonstigen Abbildungen, Fotografien, Stimmen, Städte/ Gemeinden des Wohnsitzes und biographische Informationen der Teilnehmer und Gewinner zur Werbung, zum Handel und zu Promotionzwecken in allen bereits bekannten oder später bekannt werdenden Medien oder Formaten, insbesondere im Internet oder über Wireless Application Protocol-Technik ohne weitere Abgeltung, Erlaubnis oder Mitteilung zu nutzen, sofern dies nicht gesetzlich ausgeschlossen ist; (2) die Gewinnspielbeteiligten freizustellen von und gegenüber jeglicher Haftung, von Schadensersatzansprüchen und sonstigen Ansprüchen (wie auch immer benannt und bezeichnet) bezüglich oder resultierend aus (i) der Beteiligung der Teilnehmer an dem Gewinnspiel oder an Aktivitäten, die mit dem Gewinnspiel in Verbindung stehen, oder (ii) dem Erhalt, dem Besitz, der Nutzung oder dem Fehlgebrauch der Preise, die in dem Gewinnspiel vergeben werden, insbesondere gegenüber allen Ansprüchen wegen Schäden am Eigentum, der Verletzung von Leben, Körper und Gesundheit, oder gegenüber Ansprüchen wegen Beleidigungsdelikten, der Verletzung von Persönlichkeitsrechten, gewerblichen Schutzrechten jeder Art, oder gegenüber Ansprüchen aufgrund von Warenlieferungen, soweit nach dem jeweils anwendbaren Recht zulässig und entsprechend der übrigen Bedingungen dieser Ziffer 8. Der oder die Gewinner müssen möglicherweise eine schriftliche eidesstattliche Erklärung zur Anspruchsberechtigung sowie eine Haftungsfreistellung und Veröffentlichungsgenehmigung ausfüllen, unterzeichnen und zurücksenden. Falls der Gewinner eine solche Erklärung, wie vom Veranstalter und/oder Gewinnspielhelfer verlangt, nicht innerhalb eines angemessenen Zeitraums angibt, kann der Gewinner seinen Preis verwirken und dieser an einen anderen Teilnehmer vergeben werden.

Keine Regelung in diesen Teilnahmebedingungen beschränkt oder schließt die Haftung des Veranstalters aus für Verletzungen von Leben, Körper und Gesundheit, die vom Veranstalter oder eines sonstigen Wettbewerbsbeteiligten fahrlässig verursacht wurde, oder für einen Schaden, den Sie aufgrund einer arglistigen Täuschung des Veranstalters oder eines sonstigen Wettbewerbsbeteiligten erlitten haben, oder jegliche sonstige Haftung, die nach dem englischen Recht nicht ausgeschlossen oder beschränkt werden kann. Wenn ein zuständiges Gericht eine Bestimmung dieser Teilnahmebedingungen, gleich aus welchem Grund, für ungültig oder undurchführbar erklärt, dann ist diese Bestimmung im Umfang des gerichtlichen Urteils unwirksam, ohne die Gültigkeit und Durchsetzbarkeit der verbleibenden Bestimmungen zu beeinträchtigen.

Der Veranstalter kann nach seinem freien Ermessen Kopien des behördlich ausgestellten Lichtbildausweises des Gewinners verlangen.

9. Sonstige Bedingungen Für dieses Gewinnspiel und diese Teilnahmebedingungen gilt das Recht von England und Wales ohne Berücksichtigung der Kollisionsnormen des internationalen Privatrechts. Sie unterwerfen sich hiermit der ausschließlichen Gerichtsbarkeit der Gerichte von England und Wales und den entsprechenden Rechtsmittelgerichten, in allen Klagen und Verfahren in Zusammenhang mit dem Gewinnspiel. En cas de différend découlant du présent Concours ou s’y rapportant, les œuvres seront réputées comme ayant été soumises par le titulaire du compte d’adhésion à partir duquel l’œuvre a été envoyée. Non valable en cas d’interdiction par la loi.

 

2.            Avis de non-responsabilité. Dans la mesure permise par la loi applicable, la responsabilité de l’Organisateur, de tout Co-organisateur participant (le cas échéant) et de chacune de leurs sociétés, sociétés mères, filiales et affiliées, ainsi que de chacun de leurs administrateurs, membres, actionnaires, membres de la direction, conseillers professionnels, salariés et agences (collectivement désignés par le terme « Entités au Concours ») ne sera pas engagée en cas de : (a) retard, perte, erreur d’acheminement des transmissions ou des œuvres, ou encore transmissions ou œuvres brouillées, altérées ou endommagées ; (b) panne ou dysfonctionnement des téléphones, de l’électronique, du matériel informatique, des logiciels, du réseau, d’Internet, ou toute autre panne ou dysfonctionnement de nature informatique ou liés aux communications ou à toute partie de l’équipement ou de la programmation associée ou utilisée dans ce Concours et pouvant limiter la possibilité de jouer ou de participer, ou provoqués par toute erreur humaine pouvant survenir lors de la communication à destination du gagnant ou lors de toute autre communication afférente au Concours, ou liés à l’élaboration, à l’examen ou à la tabulation des œuvres de ce Concours ; (c) toute perturbation du Concours, tout préjudice corporel, toute perte ou dommage provoqué par des événements échappant au contrôle des Entités au Concours ; ou (d) toute erreur d’impression ou faute typographique dans tout matériel associé au Concours pour des raisons indépendantes de la volonté de l’Organisateur. Si, pour des raisons d’erreurs d’impression ou autres erreurs, le nombre de prix réclamés dépasse le nombre établi dans ce Règlement officiel, toutes les personnes qui auront présenté des réclamations manifestement valables seront incluses dans un tirage au sort afin d’attribuer le nombre affiché de prix disponibles. Aucun prix ne sera attribué en sus du nombre de prix affiché.

 

3.            Période de déroulement du Concours. Le Concours débutera le on 7/1/2014 at 12:00 a.m. CDT et s’achèvera on 7/31/2014 at 11:59:59 p.m. CDT (la « Période de Déroulement du Concours »). Toutes les œuvres doivent avoir été reçues pendant la Période de Déroulement du Concours pour pouvoir remporter un prix. L’horloge de l’Organisateur ou de son entité désignée constituera le seul moyen de chronométrage admis au Concours.

 

4.            Comment participer au Concours. Pendant la Période de Déroulement du Concours, vous pouvez participer au Concours en soumettant un lien vers votre modification dans la page du concours (une « Œuvre »). Chaque Œuvre devra être accompagnée de :

 

  • Une pièce jointe numérique du contenu que vous nous soumettez ou un lien vers le contenu que vous nous envoyez (l’un et l’autre, une « Contribution ») ; et
  • Nom, âge, adresse électronique, adresse physique et numéro de téléphone du créateur de la Contribution.

 

Les Œuvres/Contributions multiples sont autorisées, toutefois pour chaque Œuvre/Contribution distincte, le participant doit déposer une Contribution intrinsèquement différente, laquelle diffère essentiellement de toute Contribution préalablement soumise par ledit participant. La décision finale approuvant l’inclusion de toutes les Contributions au Concours revient à l’Organisateur, y compris, mais sans limitation, la faculté d’estimer que des Contributions supplémentaires par le même participant sont, de fait, des Contributions essentiellement différentes. Toute Contribution décrivant, utilisant ou encore contenant et/ou exaltant un langage ou un comportement grossier, obscène, menaçant, raciste, illégal, vulgaire ou blasphématoire, que ce soit en tant que partie de la Contribution ou en tant qu’intitulé de la Contribution, ou de nature à enfreindre tout droit de propriété intellectuelle ou droit de la personnalité d’une tierce partie, ou en violation des Conditions générales d’utilisation ou encore considérée comme inappropriée par l’Organisateur pour des raisons légitimes, sera éliminée et privée du droit de gagner.

 

 

 

Toutes les Contributions sont soumises aux conditions générales suivantes :

 

Chaque participant conservera son droit de propriété et ses droits de propriété intellectuelle applicables portant sur sa Contribution. Toutefois, chaque participant accorde par les présentes, pour la durée des droits de propriété intellectuelle, à l’Organisateur, et à ses agents, sociétés affiliées, successeurs et ayants droit une licence irrévocable, mondiale, non exclusive, entièrement payée et libre de redevances, pouvant faire l'objet d'une sous-licence et d'une cession, pour faire usage, distribuer, transmettre, afficher, créer des œuvres dérivées et utiliser toutes les Contributions de quelque manière que ce soit et quelle qu’en soit la finalité, y compris mais sans s’y limiter, des démarches publicitaires et de marketing par l’Organisateur. Chaque Contribution est, et sera traitée comme telle, non confidentielle et libre de droits, à l’exception des droits moraux. L’Organisateur se réserve le droit d'éditer successivement ou autrement de modifier l’ensemble des Contributions de quelque manière que ce soit et quel que soit le but, mais n’en a pas l’obligation. Chaque participant déclare et garantit par les présentes qu’il est le propriétaire de la Contribution (et de son contenu) qu’il a déposée, ou qu’il possède autrement le droit d’en accorder l’utilisation tel que prévu dans cet article, et que le fait de soumettre ladite Contribution n’enfreint pas les droits à la vie privée, les droits de la personnalité, le droit d’auteur, les droits de propriété industrielle et commerciale, les droits contractuels, les droits de représentation musicale et les droits d’édition, ou tout autre droit de toute personne ou entité. L’Organisateur se réserve le droit d’utiliser la Contribution pour quelque finalité que ce soit, y compris mais sans s’y limiter, l’utilisation en ligne sur Internet et par WAP ou protocole pour application sans fil, la reproduction, la divulgation, les activités publicitaires et promotionnelles, la distribution, la transmission, la publication et la télédiffusion. L’Organisateur se réserve le droit d’utiliser toute idée, concept, connaissance ou technique contenue dans la Contribution à une fin quelconque, y compris mais sans s’y limiter, pour développer et commercialiser des produits et/ou des services en se servant desdites informations, et chaque participant reconnaît et comprend que l’utilisation de ladite Contribution ou de son contenu par l’Organisateur, ses agents, sociétés affiliées ou ayants droit ne donnera lieu à aucune contrepartie, redevance ou autre forme de rémunération. De plus, par les présentes, chaque participant, ainsi que ses héritiers, indemnise, décharge, dégage et exonère l’Organisateur et tout éventuel Co-organisateur s’il y a lieu et les Entités au Concours de même que leur société mère respective, leurs mandataires, sociétés affiliées, successeurs et ayants droit et leurs administrateurs, membres, actionnaires, membres de la direction, agents et représentants (collectivement, les « Parties Exonérées »), de toute responsabilité découlant de toute action et/ou responsabilité, sous quelque forme que ce soit ou de quelque manière que ce soit, découlant de toute violation de droits de tierces parties, en y incluant tous frais et honoraires d’avocats en rapport avec la Contribution.  Si vous n’acceptez pas ces conditions, veuillez vous abstenir de participer au Concours.

 

5.            Comment gagner : En fonction des critères d’évaluation ci-après, l’Organisateur sélectionnera les gagnants au plus tard avant le 8/15/2014 parmi toutes les Contributions admissibles qui auront été reçues pendant la Période de Déroulement du Concours. La Contribution qui remplira au mieux les critères d’évaluation définis ci-après sera considérée gagnante. AJOUTER[Les prix des seconde et troisième places seront eux aussi déterminés par l’Organisateur en fonction des critères d’évaluation exposés ci-après.]

 

6. Prix.

                a.             Grand Prix. [1] Grands Prix au total constitués de Affiche signée, Rowsdower peluche, et $800. La valeur approximative au détail (« VAD ») du Grand Prix est de $850 . Les chances de gagner dépendent du nombre de Contributions admissibles reçues et des décisions des membres du Jury.

                b.  la deuxième place au total constitués de Rowsdower peluche, et $500. La valeur approximative au détail (« VAD ») du Grand Prix est de $500 . Les chances de gagner dépendent du nombre de Contributions admissibles reçues et des décisions des membres du Jury.

                c. la troisième place au total constitués de Rowsdower peluche, et $250. La valeur approximative au détail (« VAD ») du Grand Prix est de $250 . Les chances de gagner dépendent du nombre de Contributions admissibles reçues et des décisions des membres du Jury.

 

 

La VAD totale de tous les prix remis au Concours est de : $1550

 

Les gagnants seront informés par courriel (ou toute autre méthode appropriée) dans les quarante-huit (48) heures qui suivent la décision de l’Organisateur. Pour réclamer un prix, les gagnants doivent suivre les instructions contenues dans la communication qu’ils auront reçue et signer la Déclaration sur l’honneur du gagnant. Il pourra être demandé à chaque gagnant d’adresser une Déclaration sur l’honneur du gagnant, signée, avant le 10/1/2014 à l’adresse ci-dessous ou à celle qui sera communiquée par l’Organisateur ou par son entité désignée. L’Organisateur pourra demander des copies d’une pièce d’identité avec photo du gagnant. Si un gagnant ne soumet pas la Déclaration sur l’honneur du gagnant dans le délai indiqué, ce gagnant pourra être considéré comme ayant renoncé au Concours, et l’Organisateur se réserve le droit de désigner le gagnant admissible suivant. De plus, dans le cas où l’Organisateur (ou son entité désignée) serait dans l’incapacité de réussir à joindre le gagnant ou de communiquer avec lui, l’Organisateur pourra remettre le prix à un ou plusieurs participants admissibles suivants. La remise d’un prix ne tient pas lieu d’affiliation, de parrainage ou d’approbation du Concours par les entités fournissant les prix.

 

TOUTE TAXE SE RAPPORTANT À LA RÉCEPTION OU À L’UTILISATION D’UN PRIX RELÈVE DE LA SEULE RESPONSABILITÉ DU GAGNANT. Tous les prix seront remis à condition qu’il y ait un nombre suffisant d’œuvres recevables. Les prix rendus pour cause d’impossibilité de livraison, ou pour des raisons échappant au contrôle de l’Organisateur pourront être confisqués et/ou remis à un autre gagnant. Le prix ne pourra pas être remplacé en cas de perte, d'endommagement ou de vol. Les prix ne sont pas cessibles. Aucun remplacement ni échange (y compris en numéraire) de prix, quel qu’il soit, n’est consenti, cependant l’Organisateur se réserve le droit, pour des raisons légitimes, de remplacer n’importe quel prix par un prix de valeur équivalente ou supérieure. Limite d’un prix par foyer ou adresse. Tous les prix sont remis « EN L’ÉTAT ».

 

 

7.            Critères d’évaluation. Les gagnants seront choisis par l’Organisateur en fonction des critères suivants : (i) originalité ; (ii) créativité et (iii) attrait esthétique, chacun des critères ayant la même importance. Toute décision de l’Organisateur est définitive. Si vous n’acceptez pas ces conditions, veuillez vous abstenir de participer au Concours.

 

8.            Partage de résultats ex-aequo. Dans l’hypothèse d’un résultat ex-aequo entre deux ou plusieurs Participants, il pourra être demandé à chaque participant de fournir une Contribution supplémentaire, laquelle sera jugée en fonction des critères de jugement énoncés ci-dessus.

                                                                                                                                                        

9.            Utilisation par l’Organisateur des Œuvres ainsi que des informations nominatives et des éléments traçant le portrait des Participants. Sauf en cas d’interdiction par la loi, vous accordez par les présentes, pour une durée nécessaire à la mise en œuvre du Concours, à l’Organisateur la licence libre de redevances et mondiale d’utiliser et de se servir, de publier votre nom, identifiant, portrait, image, voix, aspect et performance, en tout ou en partie, tel que ce qui précède peut être rendu dans la Contribution et/ou en rapport avec le Concours, le Site, et la promotion ou autre forme d’exploitation par l’Organisateur de ce qui précède, que l’utilisation qui en est ainsi faite soit ou non en rapport avec l’utilisation par l’Organisateur de la Contribution ou avec d’autres matériels soumis. Les Contributions et les autres matériels soumis ne seront restitués à aucun participant. Sans restreindre la généralité de ce qui précède, chaque participant reconnaît par les présentes que l’Organisateur aura le droit d’utiliser, de modifier, de reproduire, de publier, de mettre en scène, d'afficher, de distribuer, de créer des œuvres dérivées et d'exploiter autrement au plan commercial et non commercial la Contribution et ce, pour la durée des droits de propriété intellectuelle portant sur la Contribution, dans le monde entier, de quelque manière ou sur quelque support médiatique que ce soit, actuellement existant ou qui serait développé par la suite, sans contrepartie, redevance ou autre rémunération pour vous ou pour toute autre personne ou entité. Aucun droit moral n’est cédé au titre des présentes. Vous acceptez d’entreprendre, aux frais de l’Organisateur, toute action supplémentaire (incluant, sans s’y limiter, l’établissement de déclarations sur l’honneur et autres documents) raisonnablement requise par l’Organisateur afin de donner effet, parfaire ou confirmer les droits de l’Organisateur tels qu’exposés précédemment dans le présent article 9. Vous ne pourrez pas vendre, accorder de sous-licences ou distribuer la Contribution ou tout dérivé de la Contribution sans en avoir informé au préalable l’Organisateur. Au cas où les droits accordés par les présentes ne pourraient pas être cédés dans la mesure imposée par cet article en vertu du droit local du lieu où réside le participant, la cession de droits qui précède sera modifiée ainsi que de besoin afin d’être conforme au dit droit local, tout en accordant à l’Organisateur les droits les plus amples possibles d’utiliser et d’exploiter la Contribution.

 

10.         Déclarations et Garanties. Vous déclarez et garantissez par les présentes que (a) vous possédez ou contrôlez autrement tous les droits portant sur la Contribution et sur tous les matériels que vous soumettez ; (b) toutes ces Contributions sont des œuvres originales dont la paternité vous revient et qu’elles n’ont pas été copiées ou dérivées, en totalité ou en partie, de toute autre œuvre et (c) toutes lesdites Contributions ne violent, ne s’approprient pas indûment ni n’enfreignent aucun droit d’auteur, marque de commerce, droit à l’image ou autre droit de propriété de toute autre personne ou entité.

 

11.         Décharge générale. En participant au Concours, dans la mesure permise par la loi, vous exonérez et dégagez les Parties Exonérées de toute responsabilité de quelque nature que ce soit découlant d’un préjudice corporel, d’un dommage à la propriété, ou d’un décès, et vous renoncez à tout motif d’action judiciaire, en rapport à toute prétention, coût, préjudice, perte ou dommage de toute nature découlant ou en rapport avec le Concours, l’utilisation du Site, ou la livraison, l’erreur de livraison, l’acceptation, la possession, l’utilisation ou l’impossibilité d’utiliser tout prix, y compris mais sans s’y limiter, les prétentions, les coûts, les préjudices, les pertes et les dommages associés aux préjudices corporels, décès, dommages ou destruction de la propriété, droits de la personnalité ou droits à la vie privée, diffamation ou portraiture sous un faux jour, que ce soit intentionnellement ou pas, et que ce soit en vertu d’une théorie contractuelle, de délit civil (incluant la négligence), de garantie ou autre théorie, dans la mesure consentie par la loi.

 

Rien dans le présent Règlement Officiel n’exclut ou ne limite la responsabilité de l’Organisateur en cas de décès ou de blessure physique causés par une faute grave de l’Organisateur ou de toute autre Partie Exonérée, ou en cas de toute perte subie par vous suite à une déclaration trompeuse de l’Organisateur ou de la Partie Exonérée pertinente, ou pour les cas où la responsabilité ne peut pas être exclue ou limitée conformément à la loi applicable. Si une juridiction compétente décide qu’une stipulation du présent Règlement Officiel est nulle ou inapplicable, quelle qu’en soit la raison, ladite stipulation sera inapplicable dans la mesure de la décision judiciaire, sans que cette nullité ou inapplicabilité n’affecte la validité ou l’applicabilité des autres stipulations du présent Règlement Officiel.

 

12.         Liste des gagnants ; Demande de Règlement Officiel. Pour obtenir une copie de la liste des gagnants ou du Règlement Officiel, veuillez envoyer une enveloppe affranchie, déjà remplie à votre adresse, format affaires [Ajouter une date en comptant 60 jours à partir du Délai de la Contribution indiqué à l’article 5] à l’adresse de l’Organisateur figurant ci-dessous et à l’attention du NOM DU CONCOURS.

 

13.         Droit applicable et Juridiction. Vous acceptez que le droit de l’Angleterre et du Pays de Galles,  régisse le Concours et ce Règlement officiel. Vous vous soumettez à la juridiction, et au lieu du procès, des tribunaux compétents de l’Angleterre et du Pays de Galles [Ou des tribunaux compétents dans le ressort desquels est situé le siège social de Curse au Royaume-Uni], et des cours d’appel respectives, pour toute action ou procédure afférente. Vous acceptez, en tant que condition de participation au Concours, que tout différend ne pouvant être réglé entre les parties et les motifs d’action judiciaire découlant ou se rapportant à ce Règlement Officiel seront réglés à titre individuel. De plus, si un tel différend devait avoir lieu et dans la mesure permise par la loi applicable, il ne vous sera pas permis d’obtenir une compensation et vous renoncez par les présentes à tous droits de prétention à des dommages-intérêts punitifs, dommages accessoires ou indirects (y compris les honoraires d’avocats raisonnables), autres que vos débours effectifs (à savoir les coûts associés à la participation à ce Concours) et vous renoncez en outre à tous droits accordant une multiplication ou une augmentation des dommages.

 

14.         Dispositions diverses. Les participants acceptent d’être liés par ce Règlement Officiel et par les décisions de l’Organisateur, lesquelles sont définitives et sans appel à tous égards. L’Organisateur se réserve le droit limité de suspendre, modifier ou changer ce Règlement Officiel à tout moment et de suspendre ou d'annuler le Concours ou la participation de tout participant au Concours au cas où des virus, bogues, interruptions ou pannes de réseau, interventions non autorisées humaines ou électroniques ou d’autres causes échappant au contrôle de l’Organisateur affecteraient la gestion, la sécurité ou le déroulement correct du Concours ou du Site, ou encore si l’Organisateur se trouvait dans l’incapacité de gérer le Concours comme prévu.  Il est interdit de soumettre des éléments de manière automatisée et toute utilisation de dispositifs automatisés de ce genre constituera une cause d’élimination. Les participants (et tout individu agissant en leur nom) qui enfreindraient ce Règlement Officiel, manipuleraient ou encore nuiraient au déroulement du Concours, du Site, ou qui adopteraient une conduite préjudiciable ou pouvant nuire à l’Organisateur, au Concours ou à tout autre participant (dans tous les cas de l’avis de l’Organisateur) seront passibles d’élimination à tout moment pendant la Période de déroulement du Concours. L’Organisateur se réserve le droit de suspendre ou d’éliminer les personnes dont l’admissibilité s’avère discutable ou lesquelles ont été éliminées ou qui sont de toute manière réputées inadmissibles au regard de leur accès au Concours et/ou de leur participation ultérieure. Cela peut entraîner le retrait de la ou des Contributions du participant. En rapport avec tout ce qui précède et dans le cas de ce qui précède, un participant peut être disqualifié en vue de remporter un prix.

 

15.         Violation de Droit d’Auteur Conformément à la loi applicable, si un individu ou une entité a raison de croire de bonne foi qu’une Contribution enfreint le droit d’auteur d’une tierce partie quelconque, celui-ci est prié de nous informer par courrier à l’adresse de l’Organisateur figurant ci-dessous, à l’attention du « Copyright Department », ou par courriel à l’adresse [email protected]en indiquant en objet l’intitulé « Copyright » (« une Notification de Violation de Droit d’Auteur »). La Notification de Violation de Droit d’Auteur  DOIT inclure ce qui suit : (i) une description détaillée de la prétendue violation ; (ii) le propriétaire du droit d’auteur ou celui ou celle qui détient la licence d'utilisation autorisée ; (iii) l’adresse ou les adresses URL où les prétendues violations sont susceptibles d’être repérées ; (iv) une déclaration selon laquelle vous êtes autorisé(e) à effectuer une Notification de Violation de Droit d’Auteur  ; (v) l'adresse à laquelle vous pouvez être contacté(e) et (vi) toute Notification de Violation de Droit d’Auteur  doit également être accompagnée de la déclaration suivante :

 

 « J’ai raison de croire de bonne foi que l’utilisation du matériel protégé par le droit d’auteur décrit ci-dessus n’est pas autorisée par le propriétaire du droit d’auteur ou par son mandataire, et que l’utilisation qui en est faite n’est pas autrement permis par la loi. Je déclare, sous peine de sanction, que les renseignements présentés aux présentes sont exacts, que je suis autorisé(e) à représenter le détenteur du droit d’auteur et que j’ai raison de croire de bonne foi que l’utilisation est illicite. »
